End User License Agreement

1. Introduction

Welcome to Brizo FoodMetrics by Brizo Data inc. (“Brizo”). This End User License Agreement (“EULA”) is a legal agreement between you (the “User”) and Brizo for the use of Brizo’s software services (the “Software”). By accessing or using the Software and data in contains (the “Content”), you agree to be bound by the terms of this EULA.

2. License Grant

Subject to the terms of the contract between Brizo and the Client (the “Agreement”), Brizo hereby grants the User a non-exclusive, non-transferable, royalty-free (except for Fees otherwise payable under the Agreement) right and license to use the Software.

Brizo alone (and its licensors, where applicable) shall own all right, title, and interest, including all related Intellectual Property Rights, in and to the Software(s) and its associated Content. This Agreement is not a sale and does not convey to the User any rights of ownership in or related to the Software(s), the Content, or the Intellectual Property Rights owned by Brizo.

5. Support and Maintenance

Brizo will provide reasonable technical support services in accordance with its standard practices during regular business hours. Any additional support services may be subject to additional fees under the Agreement.

6. Termination

This EULA is effective until terminated as per the Agreement. Brizo may terminate this EULA if the User breaches any of the terms and conditions. Upon termination, the User must cease all use of the Software and destroy all copies of the Content.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Province of Québec and the laws of Canada applicable therein.

8. Amendments

Brizo reserves the right to modify this EULA at any time. Any material change will be submitted to the User to renew his/her consent to use the Software. The User’s continued use of the Software after any such changes constitutes acceptance of the new EULA.

9. Data Collection and Privacy

Brizo may collect and transmit data related to your usage, including but not limited to usage patterns, system interactions, and performance metrics. This data is used to improve Brizo FoodMetrics’  functionality and user experience.
